The Nay Cultural Club – Membership Agreement


This Membership Agreement (the “Agreement”) is entered into between the undersigned applicant (“Member”) and The Nay Cultural Club (the “Club”), effective as of the date of the Member’s acceptance of these terms.


1. Membership Eligibility:

1.1. All Members and guests must be at least 19 years of age to access and participate in Club activities.
1.2. Membership is open to applicants of all backgrounds who demonstrate respect for, interest in, or connection to the Club’s cultural and family-oriented mission.
1.3. Submission of an application does not guarantee membership. Applications may be approved, denied, or held pending at the sole discretion of the Club.

2. Club Activities and Conduct

2.1. Members acknowledge and agree that all activities, services, and programs within the Club are subject to the authority and discretion of Club management.
2.2. Members must comply with the Club’s Code of Conduct, posted rules, and all directions from management and staff.
2.3. Recording and Photography Ban: Video or audio recording, photography, or any form of digital capture inside the Club is strictly prohibited without prior written authorization from management. Any violation of this rule constitutes grounds for immediate termination of membership and may result in legal action for privacy and property violations.
2.4. Any violation of the Code of Conduct, disruptive behavior, unlawful activity, or actions contrary to the Club’s mission may result in suspension or termination of membership.

3. Membership Term, Suspension, and Termination


3.1. Membership is a revocable privilege, not a right.
3.2. The Club reserves the sole and absolute discretion to:
Approve or deny any membership application;
Place an application on pending/hold status;
Suspend or cancel membership at any time, with or without explanation, where a Member has breached the Code of Conduct, acted contrary to the Club’s mission, or where continued membership is deemed not in the Club’s best interests.
3.3. Decisions of the Membership Committee are final and binding.


4. Membership Fees and Contributions


4.1. Membership requires the payment of a minimum monthly fee of $10.
4.2. The Club may structure membership fees so that a portion of a Member’s initial purchase or payment is applied toward the monthly fee.
4.3. All payments, fees, or monetary transfers from Members to the Club shall be considered membership contributions in support of the Club’s mission. Such contributions are non-transferable and non-refundable, except as otherwise provided in this Agreement.


5.Refunds


5.1. If an application is not approved, any fees paid will be refunded.
5.2. If a membership is cancelled or suspended, the Club may, at its discretion, refund unused prepaid fees for any unexpired period of membership.


6. Assumption of Risk and Waiver


6.1. Member acknowledges that activities and services within the Club may carry inherent risks.
6.2. Member voluntarily assumes all such risks and accepts full personal responsibility for any injury, health issue, or consequence arising from participation in Club activities.
6.3. To the fullest extent permitted by law, the Member hereby waives, releases, and forever discharges the Club, its directors, officers, staff, and agents from any and all claims, demands, or causes of action arising from or related to the Member’s participation in Club activities.


7. Obligations of Members and Guests

7.1. Members must present valid government-issued ID upon request.
7.2. Members may bring guests into the Club only in accordance with the Club’s guest policies.
7.3. Member Responsibility for Guests: Members are fully and legally responsible for the actions, behaviour, and compliance of any guests they invite or accompany into the Club. Any damage, misconduct, or legal action arising from a guest’s conduct shall be deemed the responsibility of the Member, and the Club may seek recovery, indemnification, or enforcement directly against the Member.
7.4. Guest Waiver of Claims: By entering the Club as a guest, all guests are deemed to have acknowledged and agreed that they are present solely under the sponsorship of the inviting Member. Guests hereby waive any and all rights of action, claims, or demands against the Club, its directors, officers, staff, and agents, and accept that any such claims will be redirected to the sponsoring Member.
7.5. The Club reserves the right to refuse entry to or remove any guest at its discretion.


8. Privacy and Data Use


8.1. The Club may collect and maintain personal information (including contact information, date of birth, and attendance records) for the purposes of administering membership, verifying eligibility, and ensuring safety and compliance.
8.2. Personal information will be kept secure, used only for Club operations, and not sold or disclosed except as required by law.


9. Access Restrictions and Inspections:


The Club premises may not be entered or inspected by any individual, organization, or government agent without the presentation of a valid judicial warrant or statutory inspection authority in accordance with Ontario law. Members and guests are strictly prohibited from authorizing any entry or inspection by third parties without prior written consent from Club management.

10. Informed Consent and Acceptance of Risk:


Member acknowledges that they have been informed of and understand the risks associated with entering and participating in activities within the Club lounge, including but not limited to any social, recreational, or other activities. Member accepts these risks and assumes full personal liability for any injury, health issues, or legal matters that may arise from their participation or the participation of any guests they bring into the Club. The Member is solely responsible for ensuring that their guests comply with all Club rules and conduct themselves appropriately while on the premises.


11. Waiver of Claims:

Member hereby irrevocably waives any right to bring forth claims or allegations against The Nay Club/Lounge, including but not limited to legal, health, or personal injury claims, arising from or related to the Member’s membership, their activities within the Club premises, or the activities or conduct of any guests they bring. The Member accepts full responsibility and liability for the actions and well-being of their guests while on Club property.

12. Signature and Execution of the agreement

By executing this Agreement, the Member affirms and acknowledge that they have read, understood, and voluntarily agreed to all terms outlined herein. This Agreement constitutes the entire understanding between the Member and the Club and supersedes all prior agreements, written or oral. The Club reserves the right to amend these terms at any time, without notice.
